These terms govern your use of our procurement consultancy services, the Procurement Maturity and Skills Assessment tools and this website. By using them you agree to what follows. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

1. Who you are contracting with

CollectiveSpend Consultancy LLC is a company registered in Dubai, United Arab Emirates ("we", "us"). "You" means the individual or organisation using our website or services.

Tail spend and the METIS platform are handled by our sister company, CollectiveSpend Technology FZE. That is a separate legal entity with its own terms; nothing here creates obligations for it or for you towards it.

2. These terms, and your contract

This website and any free tools on it are provided under these terms. Paid work is different: platform subscriptions, consultancy engagements and managed services are governed by a separate written agreement, order form or statement of work signed by both parties. Where that signed agreement conflicts with these terms, the signed agreement wins.

3. What we provide

We provide our services on a reasonable-efforts basis. We aim for high availability but do not guarantee that the website or platform will be uninterrupted or error free. We may change, suspend or withdraw features, and we will give reasonable notice of material changes affecting paying customers.

Any output produced by our AI agents, including supplier recommendations, scoring, benchmarks and negotiated terms, is decision support. Purchasing decisions, approvals and contracts with your suppliers remain yours. You are responsible for applying your own approval thresholds and policies.

4. Acceptable use

You agree not to:

• use the service unlawfully, or to breach the rights of anyone else;
• attempt to gain unauthorised access to our systems, other tenants' data, or any account that is not yours;
• probe, scan or load-test our infrastructure without our written permission;
• scrape, republish or resell our content, supplier data or benchmarks;
• reverse engineer the platform, or use it to build a competing product;
• upload malware, or content you have no right to share.

We may suspend access without notice if we reasonably believe it is being used in breach of this section or in a way that puts other customers at risk.

5. Accounts

You are responsible for keeping account credentials secure and for activity under your accounts. Tell us promptly at hello@csconsultancy.ai if you believe an account has been compromised. We support single sign-on and role-based permissions, and we recommend you use them.

6. Your data

Data you or your organisation put into the service stays yours. You grant us the limited licence needed to host, process and display it in order to run the service for you. We may use it in aggregated and anonymised form, so that neither you nor any individual is identifiable, to improve our services. We do not disclose your identifiable confidential information to other clients. Personal data is handled as described in our privacy policy.

7. Our intellectual property

The platform, the website, our AI agents, brand, documentation and any benchmark or report we publish remain our property or that of our licensors. You get a non-exclusive, non-transferable right to use them for your own internal business purposes for as long as your agreement with us is in force. Any feedback you give us we may use freely, without obligation to you.

8. Third parties

The service connects to systems we do not control, including your ERP, punchout catalogues and supplier systems. We are not responsible for those systems, for suppliers' performance, or for the accuracy of data they supply. Contracts you enter with suppliers are between you and them.

9. Fees

Fees, billing frequency and payment terms are set out in your order form or statement of work. Unless that document says otherwise, invoices are payable within 30 days, fees exclude VAT and other applicable taxes, and we may charge interest on late payment at the rate permitted by UAE law.

10. Warranties and liability

We provide the website and any free tools "as is", without warranties of any kind to the extent the law allows. Warranties for paid services, if any, are those set out in your signed agreement.

Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.

Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business or data. Our total aggregate liability arising out of or in connection with these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim, and to AED 5,000 where you have paid us nothing.

Estimates of savings, whether from our ROI calculator, a benchmark report or a proposal, are illustrative projections based on the inputs given. They are not a guarantee of results.

11. Confidentiality

Each party will keep the other's non-public information confidential, use it only to perform under these terms, and protect it with at least the care it uses for its own confidential information. This does not apply to information that is public through no breach, was already known, or must be disclosed by law.

12. Term and termination

You may stop using the website at any time. Paid subscriptions and engagements run for the term in your agreement. Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination we will, on request made within 30 days, make your data available for export; after that we may delete it in line with our retention practice.

13. Changes to these terms

We may update these terms. The date at the top shows when. For paying customers, we will give at least 30 days' notice of changes that materially reduce your rights, and those changes take effect at your next renewal.

14. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

15. General

If any provision is found unenforceable, the rest stands. A failure to enforce a right is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a group company or to a successor of our business. There are no third-party beneficiaries.
